AGREEMENT TO OUR LEGAL TERMS
We are Avori, LLC (‘Company’, ‘we’, ‘us’, or ‘our’), a limited liability company registered in the Republic of Belarus at Jasminovaya Street 2D, Suite 31, Minsk 220076. Our registration number (УНП) is 193021538.
We operate the website https://avori.by (the ‘Site’), together with any related content and functionality that refers or links to these legal terms (the ‘Legal Terms’) (collectively, the ‘Services’).
You can contact us by email at legal@avori.by or by post at Jasminovaya Street 2D, Suite 31, Minsk 220076, Belarus.
These Legal Terms govern your access to and use of the Site. By accessing the Site you agree to be bound by them. If you do not agree with them, please do not use the Site.
These Legal Terms do not govern the services we provide to clients. Those are governed exclusively by the written contract concluded between us and the client. Where anything in these Legal Terms conflicts with such a contract, the contract prevails.
We may update these Legal Terms from time to time. The updated version is indicated by the ‘Last updated’ date above, and takes effect when posted. Your continued use of the Site after that date means you accept the revised terms. We recommend reviewing this page when you visit.
The Site is intended for business users and job applicants and is not directed at anyone under 18.
1. OUR SERVICES
The Site provides information about our company and the services we offer. It does not itself constitute the provision of professional services.
The information on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Those who access the Site from other locations do so on their own initiative and are responsible for compliance with local law.
2. NOT AN OFFER
Information published on the Site — including descriptions of our services, case studies, and any indicative rates or timelines — is provided for information only and does not constitute a public offer within the meaning of Article 407 of the Civil Code of the Republic of Belarus. It is an invitation to make enquiries. No contract arises between us until a written contract is signed by both parties.
3. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or licensee of the intellectual property rights in the Site, including its source code, design, text, photographs, graphics, video and audio (collectively, the ‘Content’), as well as the trademarks, service marks and logos it contains (the ‘Marks’).
The Content and Marks are protected by the legislation of the Republic of Belarus on copyright and related rights and on trademarks, and by international treaties to which Belarus is a party.
The Content and Marks are provided ‘AS IS’ for your personal, non-commercial use or internal business purpose only.
Your use of the Site
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Site and to download or print portions of the Content, solely for your personal, non-commercial use or internal business purpose.
Except as set out above, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for any commercial purpose without our express prior written permission. Requests should be sent to legal@avori.by.
If we grant permission, you must identify us as the owner of the Content or Marks and ensure any proprietary notice remains visible.
We reserve all rights not expressly granted.
Third-party rights in project materials
Where our case studies or portfolio describe work carried out for clients, the intellectual property in the underlying products belongs to those clients and is used with their permission. Nothing on the Site grants you any right in that material.
4. WHAT YOU SEND US
The Site allows you to contact us and to apply for a job. It does not host forums, comments, reviews, user profiles or any other facility for publishing content, and nothing you send us is published on the Site.
Your materials remain yours. Sending us an enquiry, a project description, a brief, a specification, a CV or any accompanying document does not transfer any intellectual property right in that material to us. We do not claim ownership of it and we do not acquire a licence to exploit it. We use it only to respond to your enquiry or assess your application.
Please do not send confidential information through the contact form. Email and web forms are not a secure channel and no confidentiality obligation arises simply because you send us something. If you need to share commercially sensitive material, tell us and we will put a non-disclosure agreement in place first.
General feedback about the Site. If you volunteer a suggestion or comment about the Site itself — a broken link, a design observation, an idea for improvement — you agree we may act on it without obligation, acknowledgement or payment. This applies only to feedback about the Site and not to any project material, business idea or CV you send us.
You are responsible for what you send. You agree not to send material that is unlawful, defamatory, obscene, harassing, discriminatory or that infringes the rights of any third party, and to ensure that any personal data of third parties you include may lawfully be provided to us.
How we handle personal data you send is described in our Privacy Policy.
5. YOUR REPRESENTATIONS
By using the Site you represent and warrant that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Site through automated or non-human means except as permitted by section 6; (4) you will not use the Site for any unlawful or unauthorised purpose; and (5) your use of the Site will not violate any applicable law or regulation.
6. PROHIBITED ACTIVITIES
You may not access or use the Site for any purpose other than that for which we make it available. You agree not to:
- Systematically retrieve data or Content from the Site to create or compile a collection, compilation, database or directory without our written permission.
- Circumvent, disable or otherwise interfere with security-related features of the Site.
- Use any information obtained from the Site to harass, abuse or harm another person.
- Harass, intimidate or threaten our employees or representatives.
- Use the Site in a manner inconsistent with applicable law.
- Upload or transmit viruses, Trojan horses or other malicious code, or any material that interferes with the operation of the Site.
- Interfere with, disrupt or create an undue burden on the Site or the networks connected to it.
- Delete any copyright or other proprietary notice from any Content.
- Copy, adapt, decompile, disassemble or reverse engineer any software making up the Site, except as permitted by applicable law.
- Use any spider, robot, scraper or other automated system to access the Site, other than standard search engine indexing.
- Collect email addresses or other contact details from the Site for the purpose of sending unsolicited commercial communications.
- Engage in unauthorised framing of, or linking to, the Site.
7. THIRD-PARTY WEBSITES AND CONTENT
The Site may contain links to other websites (‘Third-Party Websites’) and material originating from third parties (‘Third-Party Content’). We do not investigate or monitor Third-Party Websites or Third-Party Content and are not responsible for their accuracy, availability, privacy practices or policies. Inclusion of a link does not imply endorsement. If you leave the Site, these Legal Terms no longer govern, and you should review the terms and privacy practices of any site you visit.
8. SITE MANAGEMENT
We reserve the right, but not the obligation, to monitor the Site for breaches of these Legal Terms, to take appropriate legal action against anyone who breaches them or applicable law, and to manage the Site in a manner designed to protect our rights and property and its proper functioning. This includes restricting or blocking access, to the extent technically feasible, where we reasonably consider it necessary.
9. PRIVACY
We care about data privacy and security. Please review our Privacy Policy, which forms part of these Legal Terms.
The Site is hosted in the Republic of Belarus. If you access it from another country, your data will be transferred to and processed in Belarus. Where you are located in the EEA or the United Kingdom, the basis on which that transfer takes place is explained in our Privacy Policy. We do not treat your continued use of the Site as consent to that transfer; where consent is required, we ask for it separately and you may withdraw it at any time.
10. COPYRIGHT AND OTHER RIGHTS INFRINGEMENT
We respect the intellectual property rights of others. If you believe material on the Site infringes a copyright or other right you own or control, please notify us at legal@avori.by, giving:
- your name and contact details;
- identification of the material and its location on the Site;
- identification of the work you say is infringed;
- a statement of the basis on which you say the use is unlawful; and
- confirmation that the information you provide is accurate.
We will review the notice and, where appropriate, remove or amend the material.
11. TERM AND TERMINATION
These Legal Terms apply while you use the Site. We may deny access to the Site, including by blocking IP addresses, to any person who breaches these Legal Terms or applicable law, or where we reasonably consider it necessary to protect the Site or our rights.
12. MODIFICATIONS AND INTERRUPTIONS
We may change, modify or remove the contents of the Site at any time at our discretion, and we are under no obligation to update information on it.
We cannot guarantee the Site will be available at all times. We may experience hardware, software or other problems, or need to perform maintenance, resulting in interruptions, delays or errors. We are not liable for any loss or inconvenience caused by your inability to access the Site during downtime, and nothing in these Legal Terms obliges us to maintain or support it.
13. CORRECTIONS
The Site may contain typographical errors, inaccuracies or omissions. We reserve the right to correct them and to change or update information at any time without prior notice.
14. DISCLAIMER
THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS, AND YOUR USE OF IT IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE OF IT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
WE MAKE NO WARRANTY AS TO THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR OF ANY WEBSITE LINKED TO IT, AND WE ASSUME NO LIABILITY FOR: (1) ERRORS OR INACCURACIES OF CONTENT; (2) ANY UNAUTHORISED ACCESS TO OUR SERVERS OR ANY INFORMATION STORED THEREIN; (3) ANY INTERRUPTION OF TRANSMISSION TO OR FROM THE SITE; OR (4) ANY MALICIOUS CODE TRANSMITTED TO OR THROUGH THE SITE BY A THIRD PARTY.
Nothing in these Legal Terms excludes or limits liability where such exclusion or limitation is not permitted by the legislation of the Republic of Belarus.
15. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE.
Because the Site is provided free of charge and no payment is made through it, our aggregate liability arising from your use of the Site is limited to the fullest extent permitted by law.
This section does not limit our liability under any contract for services concluded with a client; that liability is governed by the contract.
16. INDEMNIFICATION
You agree to indemnify and hold us harmless, including our officers, agents and employees, from any loss, damage, liability, claim or demand, including reasonable legal fees, made by a third party arising out of: (1) your use of the Site; (2) your breach of these Legal Terms; (3) your breach of the representations and warranties in these Legal Terms; or (4) your violation of the rights of a third party. We reserve the right to assume the defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with that defence.
17. ELECTRONIC COMMUNICATIONS
Visiting the Site, sending us emails and completing online forms constitute electronic communications. You consent to receive communications from us electronically in response, and you agree that notices and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing, to the extent permitted by the legislation of the Republic of Belarus.
18. GOVERNING LAW AND DISPUTE RESOLUTION
These Legal Terms and the relations of the parties related to their execution are governed by the law of the Republic of Belarus. The parties are responsible for non-performance or improper performance of these Legal Terms.
The parties will endeavour to resolve controversial issues and disagreements through negotiations. A pre-trial claim may be sent to legal@avori.by or, where we are the claiming party, to the email address you have provided to us. The term for consideration of a pre-trial claim is 15 calendar days from the date of its receipt.
Where agreement is not reached, the dispute shall be resolved by the courts of the Republic of Belarus, unless mandatory rules of law applicable to you provide otherwise.
Nothing in this section prevents either party from applying to any court of competent jurisdiction for interim or injunctive relief, or prevents us from bringing proceedings before any competent court to enforce or protect our intellectual property rights, including in respect of unauthorised copying, scraping or use of the Content or Marks.
Nothing in this section deprives you of the protection afforded by provisions that cannot be derogated from by agreement under the law of the country in which you have your habitual residence.
This section does not apply to your rights as a data subject. Those rights, the procedure for exercising them and your right to complain to a supervisory authority are set out in our Privacy Policy and are governed by the applicable data protection legislation, irrespective of the governing law stated above.
19. MISCELLANEOUS
These Legal Terms, together with the Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Site. Our failure to exercise or enforce any right or provision does not operate as a waiver of it. We may assign our rights and obligations under these Legal Terms at any time. We are not responsible for any loss, delay or failure to act caused by circumstances beyond our reasonable control. If any provision is held unlawful, void or unenforceable, it is severable and does not affect the validity of the remaining provisions. Nothing in these Legal Terms creates a joint venture, partnership, employment or agency relationship between you and us.
